VENDOR ELIGIBILITY 1.1 Vendors must provide valid and accurate business information during registration. 1.2 Vendors may be required to submit: GST Registration PAN Card Business Registration Bank Account Details Product Certifications Industrial Licenses (if applicable) 1.3 VERSADU reserves the right to approve, reject, suspend, or terminate vendor registrations at its sole discretion. 2. PRODUCT & SERVICE LISTING POLICY 2.1 Vendors must provide: Accurate product descriptions Technical specifications Pricing information Warranty details Product images Compliance certifications where applicable 2.2 Misleading, false, duplicate, or deceptive listings are strictly prohibited. 2.3 Vendors are solely responsible for the accuracy and legality of their listings. 3. PRICING POLICY 3.1 Vendors must maintain fair and transparent pricing. 3.2 Artificial price manipulation, fake discounts, or misleading promotional claims are prohibited. 3.3 VERSADU reserves the right to remove incorrect or suspicious pricing listings. 3.4 Applicable platform commissions, service fees, marketing fees, or logistics charges may apply. 4. INVENTORY & STOCK MANAGEMENT 4.1 Vendors must maintain updated inventory levels. 4.2 Vendors are responsible for avoiding overselling or stock inaccuracies. 4.3 Repeated stock failures or cancellations may impact vendor ratings and platform privileges. 5. ORDER PROCESSING & DELIVERY 5.1 Vendors must process orders within agreed timelines. 5.2 Vendors are responsible for: Proper packaging Product safety Shipment readiness Dispatch coordination 5.3 Industrial products requiring installation or commissioning must be handled by qualified personnel where applicable. 5.4 Delays, failed deliveries, or repeated operational issues may result in penalties or suspension. 6. QUALITY ASSURANCE POLICY 6.1 Vendors must ensure: Genuine products Safe operational standards Product quality consistency Warranty support Compliance with Indian laws and industry standards 6.2 Counterfeit, damaged, defective, expired, or unsafe products are strictly prohibited. 6.3 Industrial automation vendors must comply with applicable safety and technical standards. 7. RETURNS, REFUNDS & CANCELLATIONS 7.1 Vendors must comply with VERSADU return and refund procedures. 7.2 Refund approval may depend on: Product condition Customer complaint validation Delivery status Technical verification 7.3 Customized, industrial, or special-order products may be non-returnable unless defective. 8. CUSTOMER SERVICE & SUPPORT 8.1 Vendors must maintain professional communication with customers. 8.2 Vendors should respond to inquiries, complaints, and service requests within reasonable timelines. 8.3 Misconduct, abusive communication, or negligence may lead to disciplinary action. 9. VENDOR PERFORMANCE & RATING POLICY Vendor performance may be evaluated based on: Order fulfillment rate Delivery timelines Customer feedback Return ratio Complaint ratio Product quality Response time Low-performing vendors may receive: Warnings Listing restrictions Temporary suspension Permanent removal 10. PROHIBITED PRODUCTS & ACTIVITIES Vendors shall not: Sell illegal or prohibited products Sell counterfeit goods Upload misleading information Infringe intellectual property rights Manipulate reviews or ratings Engage in fraud or unethical practices Restricted products may include: Hazardous materials Unauthorized medical products Illegal electronics Expired goods Restricted industrial equipment without approvals 11. INTELLECTUAL PROPERTY RIGHTS 11.1 Vendors must own or have authorization to use all uploaded: Product images Logos Catalogues Trademarks Technical documents 11.2 Vendors shall not infringe third-party intellectual property rights. 11.3 VERSADU reserves the right to remove infringing content immediately. 12. DATA PRIVACY & CONFIDENTIALITY 12.1 Vendors must protect customer and business information. 12.2 Unauthorized sharing, misuse, or sale of customer data is prohibited. 12.3 Vendors shall comply with applicable privacy and data protection laws. 13. MARKETING & PROMOTIONAL POLICY 13.1 Vendors participating in VERSADU promotions must honor committed pricing and offers. 13.2 VERSADU may use vendor brand names, logos, product images, and listings for promotional purposes. 13.3 Vendors shall not misuse the VERSADU brand identity for unauthorized promotions. 14. PAYMENT & SETTLEMENT POLICY 14.1 Vendor settlements shall be processed according to agreed settlement cycles. 14.2 VERSADU may hold settlements in cases involving: Disputes Fraud investigations Refund claims Policy violations 14.3 Applicable taxes and deductions may be applied as per law. 15. PLATFORM RIGHTS VERSADU reserves the right to: Approve or reject vendors Remove products or listings Suspend or terminate accounts Modify platform policies Restrict certain categories Investigate suspicious activities 16. LEGAL COMPLIANCE Vendors must comply with: Indian Information Technology Act GST laws Consumer Protection Act Industrial safety standards E-commerce regulations Intellectual property laws Applicable licensing requirements Industrial vendors must maintain required certifications and approvals. 17. ACCOUNT SUSPENSION & TERMINATION Vendor accounts may be suspended or terminated for: Fraudulent activities Fake products Policy violations Repeated customer complaints Operational negligence Non-compliance with laws VERSADU reserves the right to initiate legal action where necessary. 18. LIMITATION OF LIABILITY VERSADU acts as a digital marketplace and service platform. Vendors remain solely responsible for: Product quality Safety Warranties Technical compliance Operational obligations VERSADU shall not be liable for indirect or consequential losses arising from vendor operations. 19. MODIFICATION OF POLICY VERSADU reserves the right to modify this Vendor Policy at any time without prior notice. Continued use of the platform constitutes acceptance of revised policies. 20. GOVERNING LAW & JURISDICTION This Vendor Policy shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts located in Chennai, Tamil Nadu, India. 21.
